Vendor/Exhibitor Guidelines

Services and Supplies

Tents are NOT available through the Festival, they are the responsibility of the Vendor/Exhibitor and the tent and the installation of the tent must comply with all applicable City of St Catharines Building Codes and St. Catharines Fire Services regulations

Water hook-ups are NOT available at the Festival.  If you require water service to comply with the Niagara Region Public Health Department regulations regarding the preparation and serving of food, please make the necessary arrangements on your own.

Telephone hook-ups are not available at the Festival.

Note:  Supplies will be delivered to each vendor/exhibitor location, by the supplier, as per their order.  It is the responsibility of the vendor/exhibitor to set-up and dismantle any rented equipment.

Road Closure

8:00 a.m. Monday, August 7, 2017 until 11 p.m. Monday August 7, 2017.

  • Facer Street from the east side of Currie Street to the west side of Cosby Avenue will be closed.
  • Elberta Street, Concord Avenue, St. George Street, Sherbourne Street, will be closed at the south side of Facer Street.
  • Concord Avenue, Ormonde Avenue, Augusta Avenue will be closed at the north side of Facer Street.

Along the south side of Facer Street from Currie Street to Cosby Avenue there will be an emergency access allowance of four meters.  This area is to be used in the event of an emergency.  Set-up of any kind in this area is prohibited.

All vehicles must be removed from all closed roads and Facer Street parking spaces by 11:30 am on Monday, August 7, 2017.

Notification of these closures will be advertised in the local papers.  Hand delivered notices will also be distributed to area residents.  City Bylaws require that space be maintained and kept clear and unobstructed for the use of pedestrians.  This may be the sidewalk, or adjacent road allowance.  You may not use both!!

Portable Washrooms and Hand Washers

There will be washroom stations, which include portable washrooms and a hand-washing unit, at select locations throughout the festival.

Police & Security

Niagara Region Police Services (Special Events) will be responsible for maintaining road closure, and policing responsibilities.  The Facer District Merchants & Residents Association has retained a private Security Company to oversee general security and offer assistance in other matters.  They will remain on site throughout the entire festival.

Rest Areas

Family friendly seating areas will be available at several locations within the festival.  The Facer District Merchants & Residents Association also provides a number of benches along the Facer Street corridor.

Staging

There will be multiple stages operating during this year’s festival:

  • The Main Stage [located at the Canadian Polish Society on Facer Street between Currie Street and Concord Avenue].
  • The European Stage [located at Your Deli on Facer Street just east of Currie Street]
  • The Polka Stage [located at St. Joseph Bakery on Facer Street between Concord Avenue and Ormonde Avenue].
  • The Italian / Rock Stage [located at Roberto’s Pizza Passion on the corner of Facer Street and Currie Street].

Health Inspection Guidelines

Prior to the Festival, you will be required to complete an application form which will be used by the Health Department to review requirements for food service during the event.  Closer to the event, we will hold a mandatory meeting for all food vendors to attend to ensure compliance with Health Guidelines.

This meeting is mandatory for all vendors serving food during the festival.  There will be NO EXCEPTIONS!!  Niagara Regional Health Officials will be attending the Festival and be conducting inspections of every food vendor.

Licenses/Permits

Every Vendor/Exhibitor will be issued a special numbered License from The Facer District Merchants & Residents Association.  It is an indication that you have met all of the Association’s guidelines and Vendor/Exhibitor licensing requirements.  It will allow you to enter the site to set-up and it must be displayed and visible at all times during Event hours.  Obtaining a City of St. Catharines Vendor license is the responsibility of the vendor/exhibitor.

By-Law Enforcement officers will be in attendance and you will be asked to show your special permit.

The FDMRA will not allow you to participate without proper licensing and without a permit.

Garbage

Garbage will be collected on a regular basis from the bins placed along the street.  All garbage will be picked up after the Festival and the Streets will be cleaned, before commencement of business the following day.  Please provide additional garbage bins during the Festival for your own garbage. The Facer European Festival is proud to set the standard of excellence for waste diversion amongst Niagara Region festivals.  With your co-operation, we believe we can set the bar even higher in 2017!

Set-up and tear down

Roads will be closed to traffic on Monday, August 7, 2017 by 8 a.m.  Once the barricades are in place you may begin setting up.  You will be required to show your permit upon entry.  Vehicles will be permitted on-site for the purpose of load-in from 7:30 a.m. to 11:30 a.m.  All vehicles will need to vacate the event site by 11:30 a.m.  Upon arrival to the festival, you must check-in at the Festival operations tent where you will receive your permit and delivery pass.  Following the end of the Festival, you must remove all personal equipment and garbage etc. from the street before 11:00 p.m. on Monday August 7, 2017.  Failure to comply with “Tear down policy” will result in financial penalties to the participant.

Insurance

Every participant is required to provide insurance coverage for the Festival.  Please ensure that you are covered under an “auxiliary space rider” special category (inquire with your insurance provider).  While the Facer District Merchants & Residents Association has purchased Festival insurance, every participant must be covered for incidents involving their own display/business. Outside participants must provide proof of insurance (minimum of Five Million Dollars ($5,000,000.00) liability) and list The Facer District Merchants & Residents Association, Facer European Festival, and The Corporation of the City of St. Catharines as an additional insured on their policy.

Power and Generators

All generators must be small, quiet and recently inspected and/or serviced to reduce fuel exhaust fumes.  All generators must have proper inspections and be in good working condition, they must be placed in an unobstructed area.  They must be vented to the outside and a fire extinguisher must be on hand in case of fire.  The Facer District Merchants & Residents Association and/or the City of St. Catharines maintain the right to remove any generators that do not meet the necessary standards or is deemed too loud.

FACER EUROPEAN FESTIVAL

 

VENDOR/EXHIBITOR APPLICATION / AGREEMENT TERMS AND CONDITIONS

This agreement is made between the applicant herein after referred to as the “Vendor/Exhibitor” and the Facer District Merchants & Residents Association, (hereinafter referred to as “FDMRA”), the Owner of the 2017 Facer European Festival, (hereinafter referred to as the “Event”).

  1. OFFICIAL AGENT:

FDMRA has established a committee to act as an Event Management Team, (herein referred to as the “Event Manager”), as the exclusive and official agent for FDMRA with regard to the sales and management of all Exhibit Space including display, exhibit, promotion, sampling, and vending at the Event.

  1. EVENT DATE:

The is the 2017 Facer European Festival taking place on Facer Street (hereinafter referred to as the “Site”), St. Catharines, Ontario on the Civic Holiday Monday, August 7, 2017. Vendor/Exhibitor move-in will commence at 8:00 a.m. on Monday, August 7, 2017 and must be completed by 11:30 a.m. on Monday, August 7, 2017. Move-out will be after 9:00 p.m. on Monday, August 7, 2017 and must be completed by 11:30 p.m. on Monday, August 7, 2017. Please note that access will be restricted to the Site and to areas within the Site from 11:00 a.m. Monday, August 7, 2017 through 9:30 p.m. Monday, August 7, 2017.

  1. LICENSE:

Upon acceptance of this agreement, the Event Manager will grant to the Vendor/Exhibitor a non-exclusive license to enter upon and use the assigned Vendor/Exhibit Space(s) within the Site for the sole purpose of the display, exhibit, promotion, sampling or sale of goods and services identified and approved in item # 23 to persons attending the Site. Further the Vendor/Exhibitor agrees to honor all Event official suppliers and sponsors as designated by the Event Manager.

  1. EXHIBIT SPACE:

All activities by the Vendor/Exhibitor will be restricted to the location(s) (hereinafter referred to as the “Exhibit Space”) that is designated for and assigned to the Vendor/Exhibitor by the Event Manager for the purposes identified in item # 23 “DETAILS OF PRODUCTS TO BE DISPLAYED/ EXHIBITED /SOLD/ VENDED” and may or may not include the right to vend or sell products or services or conduct sampling.

While using the Exhibit Space, Vendor / Exhibitors shall:

  1. Ensure that Exhibit Space is completely setup, operable and staffed during all Event operating hours.
  2. NOT permit any person other than its employees to use any part of the Exhibit Space.
  3. NOT conduct any activity other than activities approved in writing by the Event Manager.
  4. Keep the Exhibit Space and associated tent and equipment in a clean and tidy condition at all times to the satisfaction of the Event Manager.
  5. Ensure that all tables are covered with an appropriate tablecloth and skirt to the satisfaction of the Event Manager
  6. If serving food and beverages, ensure that the food and beverages are stored, prepared and served in accordance with all City of St. Catharines bylaws, regulations, and requirements and all provincial and federal laws for the preparation and service for food and beverages.
  7. Remove all litter and refuse from the Exhibit Space and ensure that it is placed in the refuse bins or sacks provided by the Event.
  8. Keep all tent fixtures and fittings in good repair and working order.
  9. NOT make any alterations, decorations or additions to the interior or exterior of event supplied tents, nor install any fixtures or fittings without prior consent of Event Manager.
  10. NOT interfere with or cause any interruption of the electrical service or water supply to your exhibit space or any other vendor (if applicable).
  11. NOT use any bottled gas or gas equipment in or adjacent to the exhibit space or any other location on the Site without the prior written approval of the Event Manager and the applicable City, Provincial and Federal regulatory agencies.
  12. NOT cause any strain by placing excessive weights on the floor, walls or ceiling of the event supplied tent where applicable.
  13. NOT use or permit the distribution of free product sampling on the Site unless prior written approval has been obtained by the Event Manager.
  14. NOT attach anything to the walls, floor or ceiling, which could damage the event supplied tent (this includes posters, signs and tape) (where applicable).
  15. Any electrical equipment required in the Exhibit Space shall be approved by Event Manager prior to its installation by the Exhibitor.  It shall be installed in conformity with all appropriate regulations, building codes, permits or regulations and shall be properly insulated and used in such a manner that it is not dangerous or obstructive.
  16. All generators must be small, quiet and recently inspected and/or serviced to reduce fuel exhaust fumes.  All generators must have proper inspections and be in good working condition, they must be placed in an unobstructed area.  They must be vented to the outside and a fire extinguisher must be on hand in case of fire.  The Facer District Merchants & Residents Association and/or the City of St. Catharines maintain the right of remove any generators that do not meet the necessary standards or is deemed too loud.
  17. Be responsible for all supplies and services required to operate the Exhibit Space including, but not limited to, paper and plastic cups, plates, knives, forks and spoons.
  18. Be responsible for hiring, training and, where appropriate, licensing, all preparation, service, and clean-up staff to the requirements of the Event, the City of St. Catharines, and the Province of Ontario.
  19. Be responsible for the safety and security of their product, displays, fixtures, equipment, vehicles and all other such items that the Vendor/Exhibitor may bring on to the Site during the Event including the move-in and move-out periods.
  20. Agree and ensure that all directors, officers, agents, employees, contractors or service providers, etc. shall comply with all terms and conditions of this agreement and further agrees that the Event Manager may, from time to time, give the Vendor/Exhibitor further reasonable instructions that will not interfere with the principle use of the Exhibit Space, and the Vendor/Exhibitor shall ensure that these further instructions are complied with by its directors, officers, agents, employees, contractors or service providers, etc.
  1. VENDOR/EXHIBITOR’S PROPERTY:

Vendor/Exhibitor’s Property including, but not limited to, displays, merchandise, fixtures, equipment, vehicles, etc., that are brought on to the Site during the Event, including the move-in and move-out periods, shall be at the Vendor/Exhibitor’s own risk, and neither the FDMRA, Event Manager, nor the City of St. Catharines will be held responsible for the loss or damage of any property of the Vendor/Exhibitor, its directors, officers, agents, employees, contractors or service providers, etc., resulting from any cause whatsoever.

  1. TENTS:

Tents are the responsibility of the Vendor/Exhibitor and all tents must be erected by the Vendor/Exhibitor and comply with all applicable City of St. Catharines Building Codes and City of St. Catharines Fire Services regulations.

  1. POWER:

Power is NOT available. If power is required, it is the responsibility of the Vendor/Exhibitor.The Vendor/Exhibitor must ensure that they comply with all City of St. Catharines bylaws, regulations and requirements and all provincial laws.

  1. WATER:

Water hook-ups are NOT available. If the water is required, it is the responsibility of the Vendor/Exhibitor.The Vendor/Exhibitor must ensure that they comply with all City of St. Catharines bylaws, regulations and requirements and all provincial and federal laws related to the use and disposal of water and/or other liquids

  1. TELEPHONES:

Telephone hook-ups are not available.

  1. PERMITS AND TAXES:
  1. Exhibit Permits:  Each Vendor/Exhibitor is responsible for obtaining and maintaining all permits and licenses required for the operation of their Exhibit Space including, without limitation, those required by the City of St. Catharines, the Province of Ontario and all applicable health authorities and all applicable liquor licensing agencies, where applicable.
  2. Taxes:  Each Vendor/Exhibitor is responsible for collecting, reporting and paying applicable HST and any other applicable Tax relating to all Exhibit sales.
  1. PAYMENTS:

No Vendors/Exhibitors will be allowed to set up on-site until all monies owed including exhibit fees, taxes, permits, service fees, etc. are paid in full.

  1. CANCELLATION:
  1. Should the Vendor/Exhibitor wish to cancel this agreement or reduce the total number of Exhibit spaces, the Event Manager will refund all payments received less fifty dollars ($50.00) administration fee only if written notice of the request of cancellation is received by the Event Manager on or before July 19, 2017.
  2. Should the Event Manager receive notice of cancellation after July 19, 2017, the Vendor/Exhibitor will receive no refund.
  1. ORDERS:
  1. The Event Manager will only accept orders upon receipt of the completed Exhibit Application/Agreement and the required payment(s) and the appropriate order form and required payment and all orders will be processed on a first paid first served basis.
  2. The Event Manager cannot guarantee that any Vendor/Exhibitor will have a particular location or position at the Event.  Event Mangers will have the sole authority with respect to assigning of locations.
  1. SECURITY DEPOSIT:

Each Vendor/Exhibitor must provide a fifty-dollar ($50.00) Security Deposit in the form of a check post-dated August 8, 2017, to be destroyed by the Vendor/Exhibitor post event if all conditions in item # 4 “EXHIBIT SPACE” are met.

  1. PRIVATE EXHIBIT:
  1. Private Exhibit sites at the Event and or on the Site will not be permitted.
  2. Any Vendor/Exhibitor involved directly or indirectly, through the supplying of products to Vendors/Exhibitors not in possession of a valid Event Exhibit permit or in a location other than that which the Event Manager has approved, will result in the Event Manager withdrawing the Exhibit permit without financial reimbursement and removing the Vendor/Exhibitor from site.
  3. Any Vendor/Exhibitor involved directly or indirectly in the selling of products that are not consistent with the image or spirit of the Exhibit permit and or products that have not been previously approved by the Event Manager may result in the closing of Vendor/Exhibitor’s Exhibit Space(s) and/or the confiscation of all or a portion of the Vendor/Exhibitor’s product and/ or the removal of the Vendor/Exhibitor and their product from the Site without any financial reimbursement.
  4. Event Manager reserves the right to approve all products and services to be displayed, exhibited, promoted, sampled and sold.  Said approval shall not be unreasonably withheld provided all products are appropriate for displaying or vending at the Event
  5. All branded products must be officially licensed or purchased from the brands official licensee
  6. Products and services may not advertise or promote brands that compete with the Event’s official sponsors, partners and suppliers
  1. ADVERTISING
  1. Vendors/Exhibitors are permitted to place or erect advertisements, banners, pennants, flags, symbols, logo decals, signs, posters or displays in the Exhibit Space provided that they are in keeping with the image or spirit of the Exhibit and/or the theme of the Festival.  Vendors/Exhibitors may not advertise or promote brands that compete with the Event’s official sponsors, partners and suppliers.  The Event Manager and/or the FDMRA reserves the right to require the Vendor/Exhibitor to remove any conflicting or offensive advertising material without any financial reimbursement.
  2. It is strictly forbidden to use the Event name or logo or any other Event affiliated, associated, or related names, logos or trademarks without the authorization of the Event Manager and/or the FDMRA.
  3. It is strictly forbidden to sell any merchandise, (e.g. clothing, souvenirs etc.) carrying the official name or logo of the Event without the prior written approval of the Event Manager and/or the FDMRA.
  1. PREMIUMS:
  2. Exhibitors are permitted to use merchandise, premiums and promotional material in connection with any promotional activities on site, such as; giveaways, self-liquidating programs, joint merchandise programs, sales incentive programs, door openers, traffic builders or any other promotional program for publicity purposes or in connection with any similar method of merchandising designed to promote their exhibit and/or the sale products or services at their Exhibit Space.  Vendors/Exhibitors may not use merchandise, premiums or promotional material that promote brands that compete with the Event’s official sponsors, partners and suppliers.  The Event Manager and/or the FDMRA reserves the right to require the Vendor/Exhibitor to remove any conflicting or offensive merchandise, premiums or promotional material without any financial reimbursement.
  3. ACCREDITATION/PARKING PASSES/SERVICE PASSES /VEHICLE ACCESS:
  1. Accreditation Passes.  Given that the Event is a “free event,” no Vendor/Exhibitor accreditation passes will be issued.
  2. Parking Passes.  No Vendor/Exhibitor Parking Passes will be issued.  We are unable to provide parking for any Vendors/Exhibitors, and parking on side streets are very limited and must be done in accordance with City of St. Catharines parking bylaws and regulations.
  3. Vehicle Access.  No vehicle may be driven anywhere within the Event Site during the hours that the Event is open to the public and all vehicles must be removed from the Exhibit Space(s) and the Site prior to 11:30 a.m. on the Event day.

Access of vehicles for delivery of goods and or supplies to the Exhibit Space may be authorized after 5:30 a.m. and before 11:00 a.m. on Monday, August 7, 2017 with a delivery pass.

  1. INSURANCE:

The Vendor/Exhibitor agrees to the following insurance requirements and shall:

  1. Maintain comprehensive general liability insurance with a combined single limit of not less than Five Million Dollars ($5,000,000.00) per occurrence or bodily injury and property damage with The Facer District Merchants & Residents Association, The Facer European Festival, and The Corporation of the City of St. Catharines, in addition to others that may be named from time to time by FDMRA being added as additional named insureds.
  2. Provide the Event Manager with an insurance certificate that will confirm these coverages and that the policies contain severability of interest and cross-liability clauses.  This certificate of insurance must be provided to the Event Manager no later than July 19, 2017.  Failure to provide the insurance certificate could result in cancellation of this Agreement at the Event Manager’s sole discretion.
  1. INDEMNIFICATION:

The Vendor/Exhibitor agrees to the following indemnification requirements and shall:

  1. Fully indemnify and save harmless, from and against all claims and demands, costs, charges, and expenses whatsoever, which it may incur, suffer or be put to by reason of any accident, death, or any person or property suffering damage or injury, through or by reason of any such Exhibit Space.
  2. Fully indemnify the Facer District Merchants & Residents Association (FDMRA) for all loss, damage, cost or expense suffered or incurred by the FDMRA, if or to the extent that the same results from any negligent or willful act or omission of the Vendor/Exhibitor, its directors, officers, agents, employees, contractors, service providers, etc., or the breach of non-observance by the Vendor/Exhibitor of any term or condition of this Agreement unless such loss, damage, cost or expense arise as a result of the actions or negligence of the FDMRA or any of its contracted services, etc.
  1. FORCE MAJEURE and ACTS OF GOD:

The FDMRA and Event Manager shall have no liability whatsoever for any matter or thing resulting from strikes, riots crime lockouts, fire, act of terrorism or war, or an event described by the legal term Act of God such as a hurricane, flooding, earthquake, etc., that shall prevent one or both parties from fulfilling their obligations herein.

22        All Vendors/Exhibitors shall ensure that any and all of its directors, officers, agents, employees, contractors, service providers, etc., that are hired locally by the Vendor/Exhibitor, will be governed by the Employment Standards Act for the Province of Ontario.  All Vendors/Exhibitors shall comply with all requirements of the Occupational Health and Safety Act for the Province of Ontario.

Note:

All space allocations will be strictly enforced.  Anyone exceeding the agreed space allotment will incur additional charges.

 

SECURITY DEPOSIT

Include in your application a separate cheque in the amount of $50.00 post-dated to August 8, 2017.  Deposit will be returned to the vendor/exhibitor post festival if all conditions outlined in the Exhibitor/Vendor Agreement are met.

I HEREBY DECLARE, that having carefully read the above terms and conditions, I accept and agree to abide by all terms and conditions therein contained and any and all reasonable requests which the Event Manager or FDMRA, within their sole discretion, may deem necessary for the proper functioning of the Event.  I, __________________________ hereby confirm that the FDMRA and The City of St. Catharines are not responsible or liable for any loss or injury, howsoever caused, to anyone under my employ, or to any customers or visitors to my vending premises while operating or remaining on site during the Facer European Festival.  I, and/or any of my directors, officers, agents, employees, contractors, service providers, etc., waive the right to seek action against the FDMRA and The City of St. Catharines in any manner or from any claims that may arise in the future as a result of my participation at the Facer European Festival event.  Furthermore, I, and/or any of my directors, officers, agents, employees, contractors, service providers, etc., agree to abide by all regulations established by The City of St. Catharines bylaws, Municipal Licensing and Health Department Regulation regarding Safe Food Handling, Police, Emergency Services and FDMRA Festival Organizers.

 

This document constitutes the entire agreement between the parties and no waivers, modifications or amendments shall be valid unless written upon or attached hereto and shall be approved in writing by the Event Manager or an FDMRA Festival Organizer.
